These Terms of Service (“Terms”) govern your access to and use of Scriptsolo, including our websites, applications, software, features, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Scriptsolo provides software tools that help users develop, structure, write, edit, and manage screenplays and related creative projects, including through artificial intelligence-powered features.
You are responsible for the creative decisions you make and for reviewing any content generated, suggested, or modified through the Service.
We may add, remove, modify, or discontinue features of the Service from time to time.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may only use the Service with the consent of a parent or legal guardian.
You may not use the Service if doing so would violate applicable law.
3. Accounts
You may need to create an account to use certain features.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring under your account. You agree to provide accurate information and promptly notify us if you believe your account has been compromised.
You may not sell, transfer, or share your account in a manner that violates these Terms.
4. Your Content
“Your Content” means scripts, ideas, outlines, characters, scenes, prompts, files, notes, messages, and other material that you submit to or create through the Service.
As between you and Scriptsolo, you retain ownership of Your Content.
You grant Scriptsolo a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, display, and otherwise use Your Content solely as necessary to operate, maintain, secure, and improve the Service and provide its features to you.
This license does not transfer ownership of Your Content to Scriptsolo.
You represent that you have the rights necessary to submit Your Content and that our processing of Your Content as contemplated by these Terms will not violate the rights of another person.
5. AI-Generated Content
The Service may use artificial intelligence to generate text, ideas, recommendations, outlines, characters, scenes, dialogue, screenplay pages, and other material (“AI Output”).
AI Output may be inaccurate, incomplete, repetitive, offensive, similar to content generated for other users, or otherwise unsuitable for your intended purpose.
You are responsible for reviewing AI Output before using, publishing, submitting, selling, or otherwise relying on it.
To the extent permitted by applicable law, Scriptsolo does not claim ownership of AI Output generated for you. However, we cannot guarantee that AI Output is unique or that intellectual property rights will attach to any particular AI-generated material.
You are responsible for determining whether your use of AI Output complies with applicable laws, contractual obligations, guild requirements, platform policies, intellectual property rights, and other restrictions.
6. Acceptable Use
You may not use the Service to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- upload content you do not have the right to use;
- distribute malware or malicious code;
- interfere with or disrupt the Service;
- attempt to gain unauthorized access to the Service or another user’s account;
- reverse engineer or circumvent technical restrictions except where applicable law expressly permits it;
- use automated systems to excessively scrape, extract, or overload the Service;
- impersonate another person or misrepresent your affiliation with another person or organization; or
- use the Service for fraudulent, abusive, or unlawful activity.
We may suspend or terminate accounts that violate these Terms.
7. Subscriptions and Billing
Scriptsolo may offer free and paid plans.
Paid subscriptions are billed in advance on a recurring basis according to the billing period you select.
By purchasing a subscription, you authorize us and our payment processor to charge the applicable subscription fees, taxes, and other disclosed charges to your payment method.
Unless otherwise stated, subscriptions automatically renew until canceled.
You may cancel your subscription at any time. Cancellation prevents future renewals but generally does not result in a refund for amounts already paid, except where required by law or expressly stated otherwise.
We may change our pricing or subscription features. Any pricing change affecting an existing subscription will take effect no earlier than your next applicable renewal after reasonable notice.
8. AI Credits and Usage Limits
Certain plans may include AI credits, usage allowances, or other limits.
Credits and allowances may vary by plan and may be subject to expiration, fair-use restrictions, or technical limits described within the Service.
Unless expressly stated otherwise, unused credits have no cash value, cannot be transferred, and may not roll over between billing periods.
We may take reasonable measures to prevent excessive, abusive, automated, or unintended use of AI functionality.
9. Third-Party Services
The Service may rely on third-party providers, including hosting providers, payment processors, analytics providers, communications providers, and artificial intelligence model providers.
Your Content may be transmitted to third-party providers when necessary to provide features you request.
We are not responsible for third-party products or services that are outside our control.
10. Intellectual Property
Except for Your Content, Scriptsolo and its licensors own all rights in the Service, including its software, design, trademarks, logos, interfaces, and other proprietary materials.
These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. They do not grant you ownership of Scriptsolo intellectual property.
11. Feedback
If you provide ideas, suggestions, or feedback regarding Scriptsolo, you grant us the right to use that feedback without restriction or compensation to you.
This does not give us ownership of your screenplay, story ideas, or other creative content merely because you discuss them through the Service.
12. Confidentiality of Creative Work
We understand that users may use Scriptsolo to develop unpublished creative work.
We do not obtain ownership of your unpublished projects by virtue of providing the Service. Our access to and processing of Your Content is governed by these Terms and our Privacy Policy.
However, no internet service can guarantee absolute confidentiality or security. You should use appropriate judgment before submitting exceptionally sensitive or legally privileged information.

14. Termination
You may stop using the Service at any time.
We may suspend or terminate your access if you violate these Terms, create legal or security risk, fail to pay applicable fees, abuse the Service, or if continuing to provide the Service is no longer commercially or technically reasonable.
Where appropriate, we may provide notice before termination.
15. Data Export and Deletion
We may provide tools that allow you to export or delete certain projects or account information.
Following account deletion, we may retain limited information where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, backup integrity, or other legitimate purposes described in our Privacy Policy.
You should maintain your own copies of important creative work.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIPTSOLO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE, ORIGINAL, COPYRIGHTABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIPTSOLO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CREATIVE WORK, OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT YOU PAID TO SCRIPTSOLO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- (B) $100.
Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.

To the extent permitted by law, you agree to indemnify and hold harmless Scriptsolo and its affiliates, officers, employees, and contractors from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the Service, your violation of these Terms, or Your Content.
19. Governing Law
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws principles.
